ROOSEVELT COUNTY COMMISSIONER’S PROCEDURES FOR AUGUST, 2015

August 3, 2015

Special Administrative Session

Present: Commissioners Duane Nygaard, Presiding Officer, Gary Macdonald and Allen Bowker; Lindsey McNabb, Administrative Assistant.

A motion was made by Gary to go into Special Administrative Session, seconded by Allen.  Passed

Stevenson Design

A motion was made by Gary to approve Stevenson Design the contract for the design of the new jail, seconded by Allen.  Passed

Discussion:

Duane stated that the commissioners have decided to move to second choice who is Stevenson Design.  Duane mentioned that Klien McCarthy was an extended distance, non personal attitude, the additional fees would be too extensive and the few trips planed on being at the job site.  Gary mentioned that he would not be comfortable with Klien McCarthy not being at the job site enough, that the commissioners would have to hire a construction manager to oversee the job site. Gary mentioned that to hire a construction manager, it would be a 3% more on the construction cost.  Gary stated that Stevenson Design would be on the job site at least once a week if needed.  Allen stated that the frequency of visit would be very important with a project like this.

Pay Raise

Pam Clark, Aging

A motion was made by Allen to approve a pay raise for Aging employee Pam Clark to Grade 2 Range 6, seconded by Duane.  Passed

Discussion:

Allen stated that this job is a unique position and the homemaker has to be trustworthy.

Additional Compensation for JP and Clerk of Superintendent of Schools

A motion was made by Gary to deny the additional compensation for the Justice of the Peace and Superintendent of Schools for this year, seconded by Allen.  Passed

Discussion:

Allen stated that the key to an additional compensation is the work load.  There is no additional work load.  Allen mentioned that they knew the work load when they ran for the position.

Sheriff Department request to purchase body cameras

A motion was made by Allen to approve Sheriff Department’s request to purchase eleven body cameras from Watch Guard in the amount of $9,997.00, seconded by Duane.  Passed

Discussion:

Duane stated that part of the amount will be paid for by a state grant.

A motion was made by Gary to approve the change to the County’s Policy and Procedures manual by adding addendum B, seconded by Duane.  Passed

 

A motion was made by Gary to approve the changes to Chapters 26.00.00, 27.00.00 and 28.00.00 of the Sheriff’s Policy and Procedures manual, seconded by Duane.  Passed

George and Roberta Budak were at the meeting to express concern for the condition of the Chelsea road. Gary stated that this would be brought to Road Foreman Ken Norgaard’s attention.

Administrative Issues:

Purchase Request Online Computer file backup, Cole Hanks  IT,  stated this is needed as a safety measure.  Cloud Online backup offsite for sheriff and Courthouse facilities. 500 Gigs @ $899 per year.

A motion was made by Gary to approve ordering Cloud backup for $899 per year, seconded by Allen.  Passed

Road Department is requesting to hire Mike Christofferson and Rod Luft for seasonal mowing.

 Interstate Engineering is getting a proposal ready for re-surfacing of the Rodeo Road east of Wolf Point and to advertise the project.

Resolution 2016-3, General Obligation Bonds

A motion was made by Gary to approve Resolution 2016-3, seconded by Allen.  Passed

RESOLUTION NO. 2016-3

RESOLUTION RELATING TO UP TO $10,000,000 GENERAL OBLIGATION BONDS; AUTHORIZING THE ISSUANCE AND PRIVATE NEGOTIATED SALE THEREOF

BE IT RESOLVED by the Board of County Commissioners (the “Board”) of the Roosevelt County, Montana (the “County”), as follows:

Section 1.  Recitals.  The electors of the County at an election duly called, noticed and held on November 4, 2014, authorized this Board to issue and sell general obligation bonds of the County in the aggregate principal amount of up to $11,860,000 for the purpose of paying the costs of designing, constructing, equipping, and furnishing a law enforcement facility, to include converting the existing Roosevelt County Jail into law enforcement offices and building a new and expanded jail as an addition to the remodeled offices that will significantly increase the existing jail space and the number of jail beds; related improvements; and paying costs associated with the sale and issuance of the bonds (the “Project”).  The County has determined at this time to issue and sell general obligation bonds of the County (the “Series 2015 Bonds”) to finance a portion of the costs of the Project.  The indebtedness to be evidenced by the Series 2015 Bonds and all other indebtedness of the County does not exceed the limitation set forth in Section 7-7-2101, M.C.A.

Section 2.  Sale of Series 2015 Bonds; Bond Purchase Agreement.  Pursuant to Montana Code Annotated, Sections 7-7-2254 and 17-5-107, this Board hereby determines that it is in the best interests of the County to sell the Series 2015 Bonds through a negotiated sale.  D.A. Davidson & Co., headquartered in Great Falls, Montana (the “Purchaser”), will serve as underwriter of the Series 2015 Bonds.

The Series 2015 Bonds shall be sold on terms and at a purchase price within the following limitations:

  • underwriter’s discount shall not exceed 0.90% of the principal amount of the Series 2015 Bonds, exclusive of original issue premium or discount;
  • the aggregate principal amount of the Series 2015 Bonds shall not exceed $10,000,000;
  • the true interest cost (TIC) of the Series 2015 Bonds shall not exceed 4.12% per annum;
  • the Series 2015 Bonds shall be subject to redemption on a date that is not later than one-half their term; and
  • the term of the Series 2015 Bonds shall not exceed twenty (20) years.

The above parameters apply only to the Series 2015 Bonds.  Any subsequent series of bonds authorized within the election authority will be issued pursuant to a different resolution or parameters.  All costs of issuing the Series 2015 Bonds (including, without limitation, underwriter’s compensation, the fees and expenses of bond counsel, the fees of the Paying Agent and Registrar, rating agency fees and related costs, the Preliminary and final Official Statement costs, Depository Trust Company fees, CUSIP costs, the costs of printing the Series 2015 Bonds, and miscellaneous expenses, if any) shall be paid by the County from proceeds of the Series 2015 Bonds.

The Chair of the Board of County Commissioners, the County Clerk and Recorder, and the County Treasurer are hereby authorized and directed to approve the principal amounts, purchase price, maturity dates, basic and additional interest rates, original issue discount and premium, and conditions pertaining to the purchase and sale of the Series 2015 Bonds, subject to the limitations contained above in this Section 2.  Upon approving such terms, the Chair of Board of County Commissioners, the County Clerk and Recorder, and the County Treasurer are herby authorized and directed to approve, execute and deliver a bond purchase agreement or bond purchase agreements ( the “Bond Purchase Agreement”), containing the agreement of the County to sell, and the agreement of the Purchaser to purchase, the Series 2015 Bonds on the terms so approved, and containing such other provisions as such officers shall deem necessary and appropriate.  In the event of the absence or disability of any of the Chair of the Board of County Commissioners, the County Clerk and Recorder, or the County Treasurer, another member or members of this Board shall make such approvals and execute and deliver the Bond Purchase Agreement.  The execution and delivery by not less than three appropriate officers of the County of the Bond Purchase Agreement shall be conclusive as to the approval of such officers of the terms of the Series 2015 Bonds and the agreement of the County to sell the Series 2015 Bonds on such terms in accordance with the provisions thereof.

Section 3.  Form.  The form of the Series 2015 Bonds and the security therefor shall be prescribed by a subsequent resolution to be adopted by this Board.

Section 4.  Preliminary Official Statement.  The Chair of the Board of County Commissioners, the County Clerk and Recorder, and the County Treasurer, and other officers of the County, in cooperation with D.A Davidson & Co., as underwriter, and Dorsey & Whitney LLP, as Bond Counsel, are hereby authorized and directed to prepare a Preliminary Official Statement to be distributed by the Purchaser to potential purchasers of the Series 2015 Bonds.  Each of the Chair of the Board of County Commissioners, the County Clerk and Recorder, and the County Treasurer ( or in the event of the absence or disability of any of the Chair of the Board of County Commissioners, the County Clerk and Recorder, or the County Treasurer, another member of this Board) is hereby authorized and directed on behalf of the County to approve the Preliminary Official Statement, and to deem it a “final” official statement as of its date in accordance with Rule 15c2-12(b)(1) promulgated by the Securities and Exchange Commission under the Securities and Exchange Act of 1934, and to authorize the dissemination of the Preliminary Official Statement.
